Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the HZ Chat communication platform (the “Service”). By accessing or using the Service, you agree to be bound by these Terms.

HZ Chat operates as a lightweight communication platform with temporary chat rooms, optional reusable Fixed Rooms, account features, and paid subscription plans. Text messages are transmitted through real-time communication channels. Temporary Rooms do not provide message history, while Fixed Rooms may support message history based on user settings and available synchronization mechanisms. File attachments are stored temporarily and are automatically deleted according to the retention period described in these Terms.

The Service may be provided in beta or evolving form. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

1. Acceptance and Scope

1.1 Acceptance of Agreement

By accessing or using the HZ Chat service in any way, you acknowledge that you have read, understood, and agree to be bound by all the terms of this Agreement. If you do not agree to any part of this Agreement, please cease using the service immediately.

1.2 Service Tiers and Account Types

The service provides different functional quotas and management privileges based on the user’s tier:

• Guest Users: Access to basic temporary communication features without the need for account registration.

• Registered Users: By creating an account, users enjoy higher base usage quotas and account management capabilities compared to Guests.

• Pro Subscribers: Users who subscribe to a paid Pro plan receive additional usage limits and enhanced capabilities according to the current Pro plan description. Pro features are provided only while the subscription remains active.

1.3 Minor Disclaimer

This service is not designed for minors. Users who have not reached the age of legal majority in their jurisdiction (minors) should use this service only under the supervision and guidance of a legal guardian. You understand and agree that HZ Chat is not responsible for any consequences arising from a minor’s use of the service.

2. User Conduct and Content Responsibility

2.1 Content Ownership and Temporary License

You retain ownership of all content (including text and files) you provide through HZ Chat. To enable the core functionality of the service (i.e., real-time relay, display, temporary storage, and secure in-room access of your messages and attachments), you hereby grant HZ Chat a limited, royalty-free license to relay, display, temporarily store, and securely enable in-room access to your User Content.

For Temporary Rooms, this license applies only during the active session lifecycle. For Fixed Rooms with message history enabled, this license applies while the message history feature remains available according to the user’s settings and account status. For file attachments, this license remains valid for 24 hours after upload. The license shall automatically terminate when the applicable retention period ends or when the related feature is no longer available.

2.2 User Content Responsibility and Reporting Mechanism

HZ Chat does not perform proactive or real-time review of User Content. Due to the lifecycle-based nature of the service, file content is hosted only for a limited duration. You understand and agree that you are solely responsible for all content (including files) that you submit or make available within your chat sessions.

To maintain service safety and prevent abuse, HZ Chat provides a Reporting Mechanism. Users may report prohibited content, and HZ Chat may conduct manual verification and take appropriate action based on the report and any available essential evidence.

2.3 Prohibited Conduct

You commit that, when using the service, you will not submit or transmit any content that violates applicable laws and regulations, including but not limited to:

1. Any content that is unlawful, obscene, pornographic, threatening, or defamatory.
2. Content that promotes violence, hate speech, or discrimination against any group.
3. Content that infringes upon the intellectual property or privacy rights of any third party.
4. Content that contains any form of malware, viruses, or other harmful code.

2.4 File Attachments and Automatic Purge

When you upload files as attachments, the file content is stored in an encrypted object storage space controlled by HZ Chat. All uploaded files will be automatically and permanently deleted within 24 hours. You understand and agree that you are responsible for the legality and security of the file content and bear all risks arising from the file storage and auto-deletion mechanism.

2.5 Violation Enforcement

You acknowledge and agree that if HZ Chat receives a report regarding unlawful content submitted through the Service, or detects any abusive behavior, the platform reserves the right to take the following actions without liability:

1. Immediate Connection Interruption: To immediately terminate your current connection and session.

2. Rate Limiting: To implement traffic limitations based on your IP address to prevent continued abusive behavior.

3. Account Termination: For Registered Users, the platform reserves the right to permanently ban the account based on the severity of the violation.

3. Service Tiers and Subscriptions

3.1 Free Tiers

HZ Chat provides free services for Guest Users and Registered Users. These free tiers include essential messaging and file-sharing capabilities as defined in our current service quotas. We may continue to improve and adjust free tier features while maintaining access to core communication functionality.

3.2 Optional Pro Subscriptions

HZ Chat offers an optional Pro Subscription tier for users who require higher usage limits and additional capabilities beyond the free tiers.

Pro features may include increased participant limits, Fixed Room creation capabilities, larger file upload allowances, longer session durations, and additional active chat capacity according to the current plan description. Fixed Rooms provide reusable chat spaces and may support optional message history features according to user configuration and subscription level.

Pro subscriptions are voluntary and are processed through secure third-party payment providers. Subscription access is provided only while the subscription remains active. If a subscription expires, is canceled, or is otherwise terminated, Pro features may be removed according to the applicable downgrade rules.

3.3 Payment Processing and Subscription Management

Payments for Pro subscriptions are handled by third-party payment providers. HZ Chat does not collect or store complete payment card details.

To manage subscriptions, HZ Chat may process limited subscription-related information, including payment provider customer identifiers, subscription identifiers, subscription status, plan information, renewal dates, and subscription lifecycle events.

Subscription events such as successful payments, cancellations, refunds, and expiration may affect your access to Pro features.

4. Disclaimers and Limitation of Liability

4.1 Service Provided “As Is”

The Service is provided on an “As Is” and “As Available” basis, without warranties of any kind, whether express or implied. We do not guarantee that the service will be uninterrupted, timely, secure, error-free, or meet your specific requirements.

4.2 Data Lifecycle and Clearance Disclaimer

Based on HZ Chat’s privacy-focused architecture, different types of chat data follow different lifecycle rules depending on room type, user settings, and service availability. You acknowledge and agree that:

• Temporary Rooms are designed for short-term communication and do not provide message history after the session lifecycle ends.

• Fixed Rooms may support message history when enabled through applicable settings. Such history relies on local storage and temporary synchronization mechanisms rather than a permanent server-side message archive.

• HZ Chat is not responsible for loss of locally stored messages, temporary synchronization data, or uploaded files resulting from expiration, deletion, device changes, browser storage limitations, or other factors outside its control.

• File attachments are subject to the automatic purge mechanism described in these Terms and cannot be recovered after deletion.

• Pro subscription provides additional features and capacity but does not create a permanent server-side message archive.

4.3 Data Privacy and Rights

We process your personal, subscription-related, and limited service-related data only as necessary to provide our services, synchronize applicable chat features, and ensure account security. Under regulations such as the GDPR, you have the right to access, correct, or request the deletion of your personal account data (the “right to be forgotten”). All data handling practices are further detailed in our Privacy Policy.

4.4 Limitation of Liability

To the maximum extent permitted by applicable law, HZ Chat shall not be liable for any direct, indirect, incidental, special, or consequential damages (including but not limited to loss of profits, data loss, or business interruption) arising out of or in connection with the use or inability to use this service. This limitation applies even if we have been advised of the possibility of such damages.

5. Governing Law and Contact

5.1 Governing Law and Dispute Resolution

This Agreement is a contract between you and HZ Chat. The interpretation, validity, and resolution of disputes arising from this Agreement shall be governed by the laws of the Republic of Singapore. Any dispute arising from this Agreement shall first be resolved through friendly negotiation; if no resolution can be reached, both parties agree to submit the dispute to the courts of the Republic of Singapore for litigation.

5.2 Agreement Updates

We may revise this Agreement periodically. The updated version will be effective immediately upon posting.
